Client acknowledges that the Licensed Software and any copies of it, regardless of the form or media in which the original or copies may exist, are the sole and exclusive property of the Company. If Company, its successors or assigns, ceases operations and/or loses the ability to support Client as a result of bankruptcy, liquidation or termination of all business operations, then Client is hereby granted the right to obtain a perpetual, royalty free license without right of transfer or assignment, to the Clarity Console content management tools being used on Client website at such time. Company represents and warrants that the Website will be functional and Client will have the on-going ability to maintain their site.
